For example, in the technology sector, we are advising the NYSE-listed technology company, Danaher Corporation, on the Israeli law aspects of its global M&A activity and we most recently served as its lead counsel on the acquisition of Frankfurt-listed AVT Technologies, which is based in Israel. We also acted for the TASE and NASDAQ listed company, B Communications Ltd., the controlling shareholder of Israel's largest telecommunications company, Bezeq, on a series of complex M&A/restructuring transactions, including negotiations with potential acquirors and investors and bond-holders, for the sale of the controlling stake of the company and overall investments relevant to it. Another significant transaction on which we advised was the merger of equals of Rhythm One Plc and Taptica Ltd (an Israeli company listed on the premium segment of the London Stock Exchange) via a statutory scheme of arrangement.
In the medical device field, we serve as Israeli counsel to NYSE-listed Cardinal Health, in connection with its multi-billion acquisition of Medtronic's Patient Care, Deep Vein Thrombosis and Nutritional Insufficiency business. We also represented Shenzhen-traded Chengdu Kanghong Pharmaceutical Group in the acquisition of I-Optima, the developer of minimally-invasive surgical ophthalmic devices; and Zimmer Surgical, a subsidiary of Zimmer Biomet - a US publicly traded medical device company, in the acquisition of all the assets of Medical Compression Systems, an Israeli entity which a developer of non-invasive solutions for the treatment of DVT.
In the autonomous driving sector, we acted for the world’s largest automotive headlight manufacturer, Koito Manufacturing Co. of Japan, on its investment in, and its strategic partnering via R&D and licence agreements, with BrightWay Vision which provides autonomous driving solutions, day and night, in all weather conditions.
In the energy sector, we regularly represent the private equity firm, Infrastructure Private Investment Fund, one of the largest and most successful private equity funds in Israel, on its various investments in major projects, such as the tender process for the acquisition of the Ashdod Desalination Plant for approx. US$ 300 million. We also represented the Israel Electric Company on the sale of the Alon Tavor power station and the Ramat Hovav power stationfor approx. US$ 560 million.
In the telecom and media sector, we represented KAN, the Israeli Public Broadcasting Corporation, on all the legal aspects (including drafting and managing tenders and negotiating agreements with major global suppliers) relating to the production of the 2019 Eurovision song contest held in Israel.
We further represented France-based cosmetics company, Groupe Rocher, in its acquisition of the international body products store chain Sabon, which is registered in Israel and operates in China, Japan, Europe and the U.S.; and Ethiopian Magical Farm, an Ethiopian based company specializing in growing flowers in the sale to a Mauritian fund - Surya Floriculture Partners Limited.
In addition, we regularly represent both Israeli and foreign banks in large, complex syndicated financings in Israel. For example, we represented a syndicate of banks and financial institutions in connection with the US$ 350 million financing of the construction of two private power plants in Ashdod and the Negev. Our leverage finance department acted for Francisco Partners, a leading global private equity firm, with respect to all financing aspects of their US$ 200 million acquisition of LiveU Ltd. We also represented a syndicate of local and foreign banks and financial institutions in the granting of a US $350 million financing to the Israeli public company, Oil Refineries Limited (one of two oil refineries in Israel).
In the field of disputes, the firm acts on highly profiled cases and arbitration proceedings (including local and international institutional arbitration under the aegis of the ICC and the LCIA).
